SICES Group, pursuant to Legislative Decree 231/2001 regarding the discipline of administrative liability of legal entities, has adopted the Organizational, Management and Control Model (the “Model 231”).
SICES Group has voluntarily adopted the Model 231 driven by the need to consolidate the safeguard of its business and to continue its mission for the benefit of all subjects involved in its activities.
The Model 231 is part of a wider policy pursued by SICES Group to promote fairness and transparency in the conduct of its business and in dealings with third parties. The Ethical Code, adopted by our Group in 2001, is part of this policy.
Both the Model 231 and the Ethical Code are constantly updated in order to implement the new regulations introduced by the Decrees relevant to our Group. This activity, along with the task of supervising the functioning, effectiveness and compliance with the Model, is entrusted to a Supervisory Body chosen and nominated by the Board of Directors. It operates according to the tasks and functions defined in the relative regulations and in compliance with the provisions of Legislative Decree 231/2001. It is worth mentioning that this Supervisory Body has another important function: it has to check and implement the synergies between the Ethical Code and the Model 231.
